WHEREWECHAT ONLINE SERVICES LIMITED AFFILIATE PROGRAM POLICY
Affiliate Program Policy for Wherewechat Online Services Limited and Wherewechat online Services LLC (collectively referred to as “WWC”)
Affiliate marketer shall be herein after be referred to as Affiliate Marketer, Participants, and shall be defined as those who has accepted and are now part of the affiliate services.
This affiliate program allows Participants to earn commission by referring new subscribers to WWC using a unique affiliate link. For each successful referral leading to a paid subscription, the affiliate will earn a portion of the subscription fee as commission. This commission will be structured across multiple affiliate levels.
- Introduction
This Affiliate Program Policy outlines the terms and conditions for affiliates partnering with WhereWeChat Online Services Limited (“WWC”). By joining our affiliate program, affiliates (“Participants” or “Affiliates”) agree to comply with the guidelines, commission structure, and policies outlined in this document. The affiliate program is designed to reward Participants for driving subscription-based referrals to WWC through unique affiliate links.
- Affiliate Commission Structure
Each referral generated through an affiliate’s unique link entitles the affiliate to a 30% commission on the referred user's subscription fee. The remaining 70% of the subscription fee will be retained by WWC.
The 30% commission will be distributed across a four-level affiliate hierarchy as follows:
Level 1 (Direct Referrals) - 50% of the 30% total commission is allocated to the Level 1 affiliate.
Levels 2, 3, and 4 (Indirect Referrals) - The remaining 50% of the 30% commission will be shared across Levels 2, 3, and 4:
- Level 2: 20% of the 30% commission
- Level 3: 15% of the 30% commission
- Level 4: 15% of the 30% commission
Example: If a new user subscribes to a $200 plan through a Level 1 affiliate link, the 30% commission is $60. The Level 1 affiliate would receive 50% of this amount ($30), while Levels 2, 3, and 4 would receive $12, $9, and $9, respectively.
- Eligibility and Registration
- Eligibility: To participate in the WWC Affiliate Program, affiliates must be individuals or legal entities with a valid email address, bank account, and social media presence.
- Registration Process: Prospective affiliates must complete the online registration form and agree to the terms in this Affiliate Program Policy. WWC reserves the right to review and approve or deny applications at its discretion.
- Affiliate Link Usage
- Affiliate Links: Each affiliate will receive a unique tracking link upon approval into the program. This link is essential for tracking referrals and calculating commissions accurately.
- Link Sharing Guidelines: Affiliates are permitted to share their links on websites, social media platforms, emails (in compliance with applicable laws), and other promotional channels. Affiliates must avoid sharing links on inappropriate websites, spamming, or using deceptive methods to generate clicks.
- Commission Payment Terms
- Commission Payout: Commissions are calculated monthly and will be paid within 15 days after the end of each month. Affiliates must reach a minimum threshold of $50 in commission earnings to qualify for a payout. If the minimum threshold is not met, commissions will roll over to the next month.
- Payment Method: Commissions will be paid through bank transfer or other approved payment methods, as designated by WWC.
- Currency: All commissions are calculated and paid in U.S. Dollars (USD) unless otherwise agreed upon.
- Tax Compliance: Affiliates are responsible for reporting and paying any applicable taxes on their commission earnings, in accordance with their local jurisdiction.

Users and Affiliate Earnings Agreement
6.1 User Credit Units
WWC rewards users of the platform with WWC credit units for participating in specific activities or purchasing certain services. These credits can be converted to monetary value or transferred to other WWC’S users, subject to the following conditions:
- Earning WWC Credits: Credits can be earned by engaging in activities such as:
- Event listings (e.g., 500 units of WWC credits per event listing).
- Music uploads (e.g., 300 units of WWC credits per music upload).
- Other activities as defined by WWC
- Conversion to Monetary Value: WWC credit units can be converted to money once the user meets the conditions specified by the platform's program policy. These conditions may include a minimum withdrawal threshold or additional verification steps.
- Transfer of Earnings: Users can transfer their earned WWC credits to friends or family members who have an active WWC account. The recipient must comply with all applicable terms and conditions of the platform.
6.2 Fraud Prevention and Payment Withholding
WWC reserves the right to decline withdrawal requests or withhold payments if an account is found to be engaged in fraudulent activities, including but not limited to:
- False or invalid activities to earn credits or commissions.
- Violation of platform policies or terms of service.
Additionally, the Company reserves the right to delete, suspend, or withhold payments on any account that is found to violate this policy or engage in activities detrimental to the platform.
6.3 No Refund Policy
Users are advised to carefully review WWC's products and services before making any subscription or payment. WWC does not offer refunds for completed transactions or subscriptions, except where required by applicable law.
- Affiliate Responsibilities and Compliance
- Adherence to Policies: Affiliates are required to comply with WWC policies, including this Affiliate Program Policy, as well as any marketing and advertising standards set by the Company.
- Prohibited Activities: Affiliates must not engage in fraudulent, deceptive, or misleading practices to generate referrals, including but not limited to:
- False claims about WWC’s services.
- Use of unauthorized or trademarked content without permission.
iii. Manipulation of cookies or other tracking mechanisms to inflate referral counts.
- Engagement in spam email campaigns or Blackhat marketing techniques.
- Code of Conduct: Affiliates are expected to maintain a professional and ethical approach in all promotional efforts in line with the broadcasting regulation of operational country. WWC reserves the right to terminate any affiliate who fails to adhere to the program’s standards or whose actions are deemed harmful to the Company’s reputation.

Account Termination
WWC reserves the right to suspend or terminate an affiliate account at any time for violating this policy or for engaging in activities that may harm the Company's reputation, brand, or business interests. In the case of termination due to a policy breach, any outstanding commission payments shall automatically forfeited to WWC.
- Program Modifications and Updates
WWC may modify the Affiliate Program Policy, including commission structure, eligibility requirements, or payment terms, at any time. Affiliates will be notified of any significant changes via email or through updates on the affiliate dashboard. Continued participation in the program after such modifications constitutes acceptance of the new terms.
10.Confidentiality and Intellectual Property
- Confidential Information: Affiliates may have access to proprietary information such as commission rates, program strategies, and other data. Affiliates agree not to disclose or misuse this information.
- Intellectual Property: Affiliates are permitted to use WWC’s branding, logos, and trademarks solely for the purpose of promoting the Company’s services as part of this program. Affiliates must discontinue use of these assets upon termination of their participation in the program.
11. Limitation of Liability
WWC will not be liable for any indirect, consequential, or incidental damages, loss of profit, or damages due to the failure of the affiliate to promote WWC’s services or fulfill their obligations under this policy.
12. Governing Law and Dispute Resolution
This Affiliate Program Policy is governed by the laws of Nigeria, Common Law and the United States on contract, depending on the affiliate’s jurisdiction. Any disputes arising from this policy shall be resolved through mediation, dispute arising in any jurisdiction not mentioned above shall automatically be governed by the laws of Nigeria without making reference to the Conflict of laws.
- 13. No Partnership, Employment or Joint Venture (JV)
For the avoidance of doubt nothing in this policy shall be interpreted as partnership, employment or JV between WWC and the affiliate marketer. Not all transaction in this agreement is strictly on win and earn bases. Any amendment to same shall strictly be written down to portray the true intent of such exclusive Parties.
